Terms of Service

Welcome to Meebly. These Terms of Service ("Terms") form a binding agreement between you and Meebly, Inc. ("Meebly", "we", "us", or "our") and govern your access to and use of our AI agent platform, websites, APIs, MCP server, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not access or use the Service.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that you are not barred from using the Service under the laws of any applicable jurisdiction.
2. The Service
Meebly provides a platform for building, deploying, and operating AI agents that interact with end users across channels such as WhatsApp, web chat, and email, and that connect to your backend systems and third-party tools. The Service may evolve over time, and we may add, change, or remove features at our discretion.
3. Accounts
To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at founders@meebly.ai if you suspect any unauthorized use.
4. Acceptable Use
You agree not to, and not to permit anyone else to:
- Use the Service in violation of any applicable law, regulation, or third-party right;
- Deploy agents that send spam, unlawful, deceptive, harassing, or harmful content;
- Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except to the extent permitted by law;
- Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measures;
- Interfere with or disrupt the integrity or performance of the Service, including by overloading our infrastructure or exceeding documented rate limits;
- Use the Service to build a competing product or to train a competing machine-learning model;
- Misrepresent your identity or affiliation, or impersonate any person or entity.
We may suspend or limit access that we reasonably believe violates this section or poses a risk to the Service or other users.
5. Your Content and Data
"Customer Data" means the data, content, configurations, prompts, and materials you or your end users submit to the Service. As between you and Meebly, you retain all rights to your Customer Data. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide, secure, and improve the Service and as described in our Privacy Policy.
You are solely responsible for your Customer Data, including its legality and for obtaining all rights, consents, and permissions necessary for us to process it on your behalf. You must not submit any data for which you lack the necessary rights, or any sensitive data except as expressly supported by the Service.
6. AI Output
The Service uses artificial intelligence and large language models to generate responses and take actions ("Output"). AI Output may be inaccurate, incomplete, or unexpected, and may not reflect Meebly's views. You are responsible for reviewing and validating Output before relying on it, and for configuring appropriate escalation, guardrails, and human oversight for your use case. The Service is not a substitute for professional advice, and you should not use it as the sole basis for decisions with legal, financial, medical, or safety implications.
7. Third-Party Services
The Service integrates with third-party platforms and tools (for example, messaging providers, payment processors, and backend systems you connect). Your use of those services is governed by their own terms, and we are not responsible for their availability, accuracy, or practices. You are responsible for maintaining any third-party accounts and credentials you connect to the Service.
8. Fees and Billing
Paid plans are billed according to the pricing presented to you at signup or in a separate order. Payments are processed by Stripe; by providing payment information you authorize us and Stripe to charge the applicable fees. Unless otherwise stated:
- Fees are quoted and payable in U.S. dollars and are exclusive of taxes, which you are responsible for;
- Subscription fees are billed in advance and usage-based fees in arrears;
- Subscriptions renew automatically for successive periods unless cancelled before the renewal date;
- Fees are non-refundable except where required by law or expressly stated in writing.
We may change our fees on prospective notice; changes take effect at the start of your next billing period.
9. Intellectual Property
The Service, including all software, models, designs, text, and trademarks, is owned by Meebly and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.
10. Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
11. Confidentiality
Each party may access confidential information of the other. The receiving party will use the disclosing party's confidential information only to perform under these Terms and will protect it with at least reasonable care. This section does not apply to information that is public through no fault of the receiving party or that is independently developed.
12. Term and Termination
These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a risk to the Service, other users, or us. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination will survive, including provisions on Customer Data ownership, fees accrued, intellectual property, disclaimers, limitations of liability, and indemnification.
We will make Customer Data available for export for a limited period after termination as described in our documentation, after which we may delete it in the ordinary course.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND EITHER PARTY'S INDEMNIFICATION OBLIGATIONS, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
15. Indemnification
You will defend, indemnify, and hold harmless Meebly and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your breach of these Terms.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the "Last updated" date, or by other reasonable means. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or required to be brought elsewhere by applicable law.
18. General
These Terms, together with the Privacy Policy and any order you enter into with us, are the entire agreement between you and Meebly regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
